1. INTRODUCTION
Welcome to boliyee.com, a platform absolutely owned and operated by XENON STRODUM LLP, which is designed to support individuals who wish to share their problems and dilemmas with an empathetic listener. Our Empathetic Listeners only provide compassionate and attentive listening to User, over the phone call. To engage with Empathetic Listener, User must book an appointment through the Platform. The Platform provides session time choice to the User. Each session may last for 15 minutes, 30 minutes, 45 minutes or 60 minutes depending upon the timeframe that User may choose. During such session Empathetic Listener is dedicated to listen to you and where You can openly share Your concerns with Empathetic Listener. The Platform operates under the brand name Boliyee (hereinafter referred to as “Boliyee”, which expression shall unless repugnant to the context thereof, include its successors and assigns).
If You (“You/Yourself//User”) continue to browse and use this Platform, You are agreeing to comply with and be bound by these terms and conditions of use of the Platform (“Terms of Use”), which, together with our privacy policy (“Privacy Policy”), govern Platform’s relationship with You. If You disagree with any part of these Terms of Use, You may not use this Platform and the Service provided through this Platform.For the avoidance of doubt, it is clarified that these Terms of Use and Privacy Policy shall apply to all the Service, whether offered by Boliyee.
1. DEFINITIONS
“Register” shall mean registering to the Platform or any other links/dashboards/webpages created on the Platform to avail the Service provided by the Platform on the basis of conditions mentioned in this Terms of Use. “Boliyee”; “us”; “we”; “our” shall mean XENON STRODUM LLP, a Limited Liability Partnership registered under the laws of India, having its registered office at C-02, Mahindra Park, Narayan Nagar, LBS Road, Ghatkopar West, Mumbai. “Platform” shall mean the website boliyee.com owned, operated and managed by us.
“Service” shall mean the online empathetic listening services provided by Boliyee, which involve patient listening and extending an empathetic ear to the User. “User” or “You” or “Your” or “Yourself” shall mean individuals who register on the Platform to avail the Service. “Empathetic Listeners” shall mean trained individuals who interact with User on the Platform, providing attentive and compassionate listening services. “Visitor” shall mean any individual accessing, scrolling or browsing the Platform without availing any Service.
1. ELIGIBILITY
The Service we offer are exclusively for Users who are of the age of majority and competent to enter into legally binding agreement under the applicable laws.
1. FIRST FREE TRIAL SESSION
Visitors can avail the facility of first free trial call session with our Empathetic Listener. This first free call session shall last for a limited time period of fifteen (15) minutes only. This facility is only available for the Visitors who are not Registered with the Platform. For availing subsequent Service, Visitors are required to Register with the Platform.
1. REGISTRATION
Visitors can navigate, check Service, and browse through the Platform without registration. However, to avail the Service offered by the Platform, Visitor must register. Once the registration is successfully completed, Your account profile (“Account”) will be created by the Platform.You can register on the Platform via website link or through sign-up provision on a web-portal. User is required to provide personal details while registering on the Platform. You will be required to provide information including without limitation full name, email address, phone/mobile number, age, gender and date of birth. The information provided by You may be verified by the Platform in order to check the authenticity. Upon filling in all the requisite details and completing the sign up process, Your Account will be created, granting you access to book sessions with our Empathetic Listener. However, if it is found that, the information provided by You is fake, inaccurate, untrue, and irrelevant, the Platform reserves the right to terminate User’s Account or refuse registration. You may also be required to provide additional information as requested by the platform from time to time.
You agree that at the time of registration, that the information provided by You shall always be accurate, correct and complete. You shall be responsible for maintaining the confidentiality of login ID and password and You agree to accept responsibility for all activities that occur under Your Account. In the event you share Your Account credentials with any person or entity other than Yourself, or if a third party accesses Your Account due to any security lapse or breach within your web/mobile device, You fully understand the risks involved. This includes the potential exposure of personal or confidential information. You agree not to hold Platform responsible or liable for any unethical/illegal activities carried out by the individual in possession of your login ID and password. You agree to abide by all applicable laws and regulations and acknowledge that You are solely responsible for all acts or omissions committed using Your Account. You must not set up an account on behalf of another individual or entity unless You are authorized to do so. You agree to promptly update the email address associated with Your account to keep it accurate so that we can contact at any given point of time. The Platform will not ask you to share sensitive information such as your debit card/credit card number, CVV, expiry date, PIN, password, or login ID with anyone. Any such actions taken by You are entirely at Your own risk and Boliyee absolves itself of any indemnification resulting from such actions.
1. SERVICE DESCRIPTION
ii. Boliyee provides a facility for User to discuss their concerns with Empathetic Listeners who offer understanding and support through compassionate and attentive listening.
iii. Empathetic Listener interact with Users over phone calls, helping them find relief through understanding and patient listening.
iv. v. Phone call sessions must be booked via appointments scheduled through the Platform. Users must book their sessions in advance to avail themselves of the Service. Users can select their preferred day, time slots, and language of conversation during booking process.
vi. The day, time slot for the call shall be communicated to the User through the mobile number (SMS) provided by the User during registration. The Platform also offers a feature allowing users to select their preferred Empathetic Listener.vii. Each session may last for 15 minutes/30 minutes/45 minutes/60 minutes depending upon the session time slot that the User may choose. During the session, Empathetic Listener will offer active listening and empathy.
1. USE OF PLATFORM
ii. Use of Platform is subject to these Terms of Use, Privacy Policy and any other policies and conditions that may be notified on the Platform.
iii. For Visitors, there is no charges to browse the Platform, but if Visitors wish to avail the Service offered over the Platform, they are required to register with the Platform and create an Account.
iv. Post registration/Account creation, You shall be able to book a call appointment with Empathetic Listener. Upon booking the appointment, You shall be directed to the payment gateway for making the payment as per the terms and condition specified therein. Payment must be made in full at the time of booking the appointment.
v. Before proceeding with the payment procedure on the Platform, You shall ensure that, You have provided accurate payment details. On booking the appointment and making the payment, You shall receive a notification via phone/mobile number confirming your appointment. You understand and acknowledge that it is Your responsibility to read and understand all information, as well as details regarding each Service, before You proceed to avail the same.
vi. You understand, agree and consent that we do not verify or endorse the information shared by You with the Empathetic listener during the call. You are responsible for all the information that You share during such call session, and You ensure that you have all the necessary rights to share such information.
vii. Users are expected to maintain respectful and appropriate communication while engaging with our Empathetic Listener. The use of derogatory, abusive, sexual, or otherwise inappropriate language is strictly prohibited. You are not allowed to use any form of verbal abuse or threatening language towards the Empathetic Listener. Any violation of this guideline may result in immediate termination of the conversation and potential suspension of access to our service.
viii. You are responsible for ensuring that You have the necessary technical equipment and internet connectivity to access the Platform and avail the Service. The Platform is not liable for any disruptions in Service due to technical issues on Your end, such as poor internet connection, incompatible hardware or listening equipment, or if you are travelling or in a low network area.
ix. All sessions between You and the Empathetic Listener are confidential. We ensure that Your personal information and the content of Your sessions are protected according to our Privacy Policy. However, You are also responsible for ensuring that You are in a private and secure environment during the session to maintain confidentiality.
x. The Platform serves solely as a medium to facilitate the connection between the Empathetic Listener and the User. The Platform assumes no liability or responsibility for the content, nature, or outcome of the conversations that take place between the Empathetic Listener and User. Users engage in these interactions at their own discretion and risk. The Service provided by the Empathetic Listener and Platform is intended solely for empathetic listening and support. We do not constitute professional counseling, therapy, or medical advice. If You require such services, we recommend seeking help from professional counselor.
1. PAYMENT TERMS
Save the first appointment and call session by Visitor which shall be free of cost, each subsequent session by the User must be paid in full at the time of booking the appointment. No appointment will be confirmed until payment is successfully processed. All payments shall be made in Indian Rupees. The receipt of payment will be sent to the User via email or provided within the Platform once payment is successfully completed.We reserve the right to change the prices for appointment bookings without prior notice to User. Platform shall display costs pertaining to Service, applicable taxes and any other charges in connection with Your use of Service. All payments required by these Terms of Use are exclusive of all taxes, duties, levies, fines, or similar governmental assessments. You shall be responsible for all taxes associated with use of Service. User agrees to make payment with the help of payment gateway or by any other mode as may be made available on
Platform from time to time. User agrees to abide by and adhere to the terms and conditions of payment gateway providers. The payments shall be secured as per permissible remittance mechanism and payment gateways. The Users understand and acknowledge that Platform undertakes utmost care to provide secure online payment system. However, it is susceptible to hacking, virus attacks, malfunction. The Users undertake all payments subject to own risk. The Platform shall not be liable for any loss or damage occurred to You due to any such malfunction, errors and/or unscrupulous activities.
1. NO REFUND AND CANCELLATION
Due to the personalized nature of empathetic listening services, all sessions are non-refundable. If You wish to reschedule an appointment, You must do so only once and the request must be made before 24 hours prior to the scheduled time. The rescheduled appointment must take place within one month of the originally booked session. Rescheduling requests made after this period will result in forfeiture of the payment. The Platform reserves the right to modify or cancel appointments only in exceptional circumstances and will provide a refund or rescheduling option if the cancellation is initiated by the Platform.
1. DISCLAIMERS OF WARRANTIES
You expressly acknowledge and agree that use of the Platform and Service is entirely at Your own risk and that the Platform, and the Services therein are provided on an “as is” basis, without any warranties of any kind. All express and implied warranties, including, without limitation, fitness for a particular purpose, and non-infringement of proprietary rights are expressly disclaimed to the fullest extent permitted by law. To the fullest extent permitted by law, Boliyee, its officers, partners, employees, and agents disclaim all warranties, express or implied, in connection with the Service and Your use thereof. Boliyee makes no warranties or representations that-

Active empathetic listening will solve your personal problem or provide you relief, The Platform will meet your requirements or expectations, The Platform will be available on an uninterrupted, timely, secure, or error-free basis, The results that may be obtained from the use of the Platform will be accurate or reliable. Active empathetic listening constitutes medical therapy or is an alternative to psychological or medical treatment.
We may occasionally, for brief periods, suspend the operations of the Platform for maintenance, updating or support work as we may deem appropriate. We are not liable for any inconvenience, loss or damage that may be caused to you during such periods of suspension. We shall not be or responsible for any –errors, mistakes, or inaccuracies occurred while provision of the Service; personal injury or property damage, of any nature whatsoever, resulting from Your access to and use of the Platform;
any unauthorized access to or use of our servers and/or any and all personal information and/or financial information stored therein; any interruption or cessation of transmission to or from the Platform; any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Platform by any third party, and/or; any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, communicated, transmitted, or otherwise made available via Platform. Platform does not warrant, endorse, guarantee, or assume responsibility for any Service advertised or offered through the Platform or any hyperlinked platform or featured in any banner or other advertising. Furthermore, the empathetic listening services provided through this Platform are intended for supportive and informational purposes only. We do not provide professional mental health advice, diagnosis or treatment. This Platform is not suitable for individuals struggling with mental health issues, including those experiencing suicidal thoughts, self- harm, or related concerns. If you are currently struggling with such issues, we strongly recommend that such individuals refrain from using the Platform and discontinue use immediately. Continuing to use the Platform will be done at Your own risk.
If You are experiencing any medical difficulties, and if You are consulting a doctor, it is imperative to seek and follow professional medical therapist or counselor advice. The Service provided by this Platform should not be used as a substitute for medical consultation or relief or treatment. User agrees that the Platform is not a suicide helpline platform.
If you are contemplating suicide or anticipate that You may cause self-harm, discontinue the use of Service immediately and contact a suicide prevention helpline.
While we strive to ensure the privacy and confidentiality of Your Personal Information, please be aware that online communications may not be completely secure. The Platform does not guarantee the confidentiality of Personal Information shared during sessions and is not responsible for any unauthorized access or misuse of your Personal Information.
The Platform is not responsible for the content of conversations between User and Empathetic Listeners. We provide a medium for communication but do not oversee or control interactions. Any conversation done during these interactions are those of the Empathetic Listener and not of the Platform. The Platform makes no representations or warranties regarding the accuracy, completeness, or legality of the content shared during these conversations. Any issues, concerns or consequences related to the content of these conversations are not the responsibility of the Platform.Without foregoing the generality of the aforesaid, the User is solely responsible for:
i. ii. maintaining the confidentiality of Your Account credentials on Our platform. If these credentials are leaked and accessed by a third party, they may gain access to your Account and may avail Service through your Account in your name without your knowledge. In such instances, We will not be responsible for such unauthorized access or actions taken by third parties, nor for any loss, damages, whether financial, reputational or otherwise occurred to You. reporting to us of any unauthorized access to your Account or any breach of security in timely manner.
1. INDEMNIFICATION
You agree to indemnify us and hold us harmless from and against any claims arising out of or relating to: (i) information that you share to the Empathetic Listener over the call, (ii) Your violation of any rights of any other person in connection with the Platform, (iii) infringement of any third party intellectual property rights, (iv) any breach of the terms and conditions of this Terms of Use, (v) any breach of applicable law and regulation (vi) any representation and warranties made in relation to the Service, (vii) misuse or unauthorized use of the Platform or its content and material and (viii) any legal actions or disputes arising from Your interactions with the Empathetic Listener, including claims of emotional distress or other harms.
1. LIMITATION OF LIABILITY
In no event shall Boliyee, its officers, partners, employees, or agents, be liable for direct, indirect, incidental, special, consequential or exemplary damages or any self-harming act, crime committed (even if Boliyee has been advised of the possibility of such damages), resulting from any aspect of Your use of the Platform, including without limitation whether the damages arise from use or misuse of the Platform, from inability to use the Platform, or the interruption, suspension, modification, alteration, or termination of the Platform. Such limitation of liability shall also apply with respect to damages incurred by reason of Service or rendered through or advertised in connection with the Platform or any links on the Platform, as well as by reason of any information, opinions or advice received through or advertised in connection with the Platform or any links on the Platform. These limitations shall apply to the fullest extent permitted by law. You specifically acknowledge and agree that Boliyee shall not be liable for User details or content or defamatory, offensive, or illegal conduct of any User or third party and that the risk of harm or damage from the foregoing rests entirely with You. In any event, the total aggregate liability of Platform to You under any applicable law whatsoever for all loss or damage arising out of access to the Platform shall be limited to the fee paid by You while booking appointment on the Platform. In case You have not paid any fee due to Platform’s policy or any other reason, Platform shall not be liable for any loss or damage in whatsoever manner.
1. PRIVACY POLICY
The Platform is committed to responsibly handling the information and data we collect through the Platform in compliance with our Privacy Policy. Please refer to our Privacy Policy. The data provided by the User shall be kept with theadministrator of the Platform and may be used subject to terms of Privacy Policy.
1. OWNERSHIP OF INTELLECTUAL PROPERTY
The Platform and all the rights including but not limited to intellectual property rights subsisting under or in relation to the Platform are owned by Boliyee and its affiliates, subsidiaries, licensors, User as the case may be. The Platform respects copyright, and we prohibit User from using the Content for professional gain, commercial purposes or using such content on social media without prior written permission of Boliyee. All the software, text, images, graphics, logos, trademarks, audiovisual, video and audio used on this Platform belongs to us. No material from this Platform shall be copied, modified, reproduced by way of reverse engineering or any method, republished, uploaded, transmitted, posted or distributed in any form without our prior written permission. Unauthorized use of the content or materials appearing on this Platform may violate copyright, trademark and other applicable laws, and could result in criminal or civil penalties.
If You believe that the Platform contains elements that infringe Your intellectual property rights in Your work, please notify us immediately. If we receive intellectual property right infringement claim notification, and it is felt appropriate, we may remove all such content which is indicated as infringing and/or take any other appropriate action at our discretion. 1. CHANGE IN TERMS
Platform reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service available on the Platform with or without notice. Further, the Platform reserves the right to change these Terms of Use at any time. Platform will send an email to the registered User in case of any changes in Terms of Use and any other policy. You are responsible to regularly review the Terms of Use. Continued use of the Platform after any such changes shall constitute Your consent to be bound by such changes. Your only right with respect to any dissatisfaction with these Terms of Use; any policy or practice of ours in operating the Platform or any Content available through the Platform, is to exercise discontinuation of usage of Platform.
1. CUSTOMER SUPPORT
Any complaints regarding Service will be resolved through email between You and the Platform as the case may be. You shall email us on boliyee07@gmail.com in order to register your complaint. In case You notice any Content which is inappropriate, offensive, indecent or objectionable with respect to religious values, caste, culture, nationality, beliefs You shall email us on the provided email id.

ANCILLARY SERVICESYou may get access to live chat rooms, emails, and other feature (“Ancillary Services”) that are offered from time to time on the Platform and may be operated by us or by a third party on our behalf. You shall not use these Ancillary Services to perform any illegal activities (including without limitation legal rights, such as right of privacy of others or immoral activities, falsely stating or otherwise misrepresenting Your affiliation with a person or entity. The Platform reserves the right to remove any live chats, comments or information provided by You if the Platform considers this inappropriate.
1. CONTENT AVAILABLE
We follow ethical business practices and intend to provide the content, which is authorized, relevant and applicable and does not infringe any third party’s rights. You acknowledge that Platform does not make any representations or provide any warranties about the material, data, and information, such as data files, text, facts and figures, computer software, code, audio files or photographs, or other images that is shared by User or any other content provider (collectively, the “Content”) which You may have access to as part of the Platform, or through Your use of this Platform. Under no circumstances, Platform is liable in any way for any Content, including, but not limited to any infringing Content, any errors or omissions in Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted, linked from, or otherwise accessible through or made available via Platform. You understand that by using this Platform, You may be exposed to Content that You may consider inappropriate, dangerous, offensive, indecent, or objectionable due to religious values, culture, caste, nationality, beliefs or due to any other reason. After registering the complaint, Platform will take appropriate legal actions against such incidence including removal of such Content.
1. PROHIBITED CONDUCT
You agree not to engage in any of the following activities: Violating laws and rights: You shall not (a) use the Platform for any illegal purpose or in violation of any local, state, national, or international laws, (b) violate or encourage others to violate any right of or obligation to a third party, including but not limited to, by infringing, misappropriating, or violating intellectual property, confidentiality, or privacy rights.
Solicitation: You shall not use the Platform, or any information provided through the Platform for the transmission of advertising or promotional materials, including junk mail, spam, chain letters, or any other form of unsolicited or unwelcome solicitation.
Disruption:
You shall not use the Platform in any manner that could disable, overburden, damage, or impair the Platform, or interfere with any other party’s use and enjoyment of the Platform; including by (a) uploading or otherwise disseminating any virus,
adware, spyware, worm or other malicious code, or (b) interfering with or disrupting any network, equipment, or serverconnected to or used to provide any of the Service on the Platform, or violating any regulation, policy, or procedure of any network, equipment, or server.
Harming others:
You shall not share or transmit Content or details that are harmful, offensive, obscene, abusive, invasive of privacy, defamatory, hateful or otherwise discriminatory, false or misleading, or incites an illegal act. You shall not intimidate or harass another through the Platform; and, You may not post or transmit any personally identifiable information about individuals without obtaining their express permission through the Platform. You shall not use or attempt to use another’s account or personal information; and, You shall not attempt to gain unauthorized access to the Platform, or to any the computer systems or networks connected to the Platform, through hacking, password mining or any other means. You shall not attempt to bypass any security measures or access control mechanisms of the Platform
Fraudulent Activity:
You shall not engage in any form of fraudulent activity, including but not limited to creating fake accounts, making false claims, or providing misleading information.
1. USAGE FROM USER JURISDICTION
If the Platform is used or accessed from anyplace outside India, it is entirely at your own risk. The Platform makes no representation that its content and other features are available or otherwise suitable for use outside India.
1. TERMINATION
We reserve the right to terminate your access to the Platform at any time without notice to you for any reason including, but not limited to, your violation of these Terms of Use, inappropriate or abusive behavior towards Empathetic Listener or other users, fraudulent activities, or for no reason. We do not represent that we will or we are required to either actively monitor such behavior or to provide such notice to you.
Our right to terminate your access is in addition to all other legal or equitable remedies available to us, which rights are fully and expressly reserved by us. Upon termination of this Terms of Use for any reason, you shall cease to use or further access any of the Platform’s content or Service and be liable for any unauthorized attempts to do so through any means. Platform reserves the right to retain all your data, records, and documents in relation to the Service for the period as permitted or required by Applicable Laws post termination of this Agreement.Your right to access and use the Platform terminates automatically upon Your material breach of any of these Terms of Use. The Platform reserves the right to modify, suspend or discontinue Your Account at any time for any material breach of the obligations under these Terms of Use. Survival: The disclaimer of warranties, the limitation of liability, indemnity and the jurisdiction and applicable law provisions shall survive any termination.
1. MISCELLANEOUS TERMS–
Choice of Law and Jurisdiction: These Terms of Use are governed by and construed according to the laws of India, the acceptance of the Terms of Use shall be deemed to have been given at Mumbai, Maharashtra and the only courts in Mumbai shall have exclusive jurisdiction to entertain any proceedings in any way relating to or concerning these Terms of Use or any rights, duties, obligations or liabilities arising there under to the exclusion of all other courts in India. Force Majeure: Without limiting the foregoing, under no circumstances shall the Platform is held liable for any damage or loss due to deficiency in performance of Service or delay in delivery of any product resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, software failures, machinery breakdown, strike, or due to government regulations, floods, storms, electrical failure, civil disturbances, riots and any other reason beyond reasonable control of the Platform.
No waiver: The Platform’s failure to insist on or enforce strict performance of any of the terms of these Terms of Use shall not be construed as a waiver of any provision or right.
Severability: If any part of these Terms of Use is held to be invalid or unenforceable by any law or regulation or final determination of a competent court or tribunal, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
No agency relationship: You agree that no joint venture, employment, or agency relationship exists between You and the Platform as a result of these Terms of Use or from Your use of the Platform or listing.
